Job Description Summary
This position is within the BD Law Group’s Global Contracting Center of Excellence (COE. Join a team of 13 international lawyers in the EMEA LG and a team of 8 lawyers, part of the Global COE team (including 2 Contract Managers based in Wroclaw). This position will report to the Senior Counsel EMEA (based in Eysins CH).
This position will provide contracting support to BD’s Global Procurement and Technology & Global Services (IT) organizations, each of which support BD’s worldwide business units, including the newly acquired Advanced Patient Monitoring (APM) business. Besides drafting and negotiating agreements, this role will collaborate with Law Group professionals maintaining agreement templates and playbooks, developing course materials and conducting training for BD internal clients. The successful candidate will be a self-starting, independent worker with a proven professional track record, as well as superior interpersonal, legal writing, and communication skills.

What is expected for success in this role:
Within the Global Contracting COE, serve as a business partner to the BD APM business and other business units for COE-related matters, working collaboratively with BD’s Global Procurement and IT organizations (including more senior leaders), and other key stakeholders (such as other Law Group Professionals, Tax, Governance, Risk management, Quality and Regulatory) to develop legal strategies and contracting processes to meet the needs and goals of the of the respective function or business.
Serve as legal partner to strategic sourcing and manufacturing operations with a specific focus on contract manufacturing agreements and outsourcing projects involving transfer of assets and inventory with a need to address any potential associated employment, data privacy and Intellectual Property risk exposures.
Draft and negotiate a variety of procurement contracts, with vendors mostly located in EMEA, the US and GA, including supply agreements, capital equipment, confidentiality agreements, consulting agreements, services agreements, statements of work and amendments.
Advise clients on the coverage of existing agreements and/or need for new agreements.
Detect legal issues and obstacles and counsel clients regarding legal risks, solutions, and alternatives, including counseling on vendor disputes and engaging and managing outside counsel as appropriate.
Update existing contract templates and playbooks and assist in the development of new templates and playbooks; conduct training on a regular basis on contracting processes and issues; identify and implement process improvements.
Collaborate with Global Procurement in implementing Law Group guidance through sourcing negotiations.
Collaborate with professionals within the Global Law Group and other corporate functions to confirm compliance with BD corporate policies and alignment with key corporate objectives.
Support professionals within the Global Contracting COE on contracting issues as they arise.
Collaborate and actively participate with other Law Group Professionals (including members of the Global Contracting COE and the EMEA LG) to achieve the team Key Driver Goals (KDG).
Qualifications
Experienced procurement contracts manager with hands-on contracting and negotiating experience, with at least 7 to 10 years relevant experience, and with a Law degree from either a Civil or Common law jurisdiction and admitted to practice as a lawyer.
Capable of working independently.
Excellent oral and written communication and drafting skills, fluent in English, another language a plus.
Strong project management skills and ability to prioritize a high-volume workload under tight schedules.
Customer-facing experience needed.
Experience within a life science/healthcare organization is preferred.
Experience in negotiating complex contractual transactions (e.g., contract manufacturing, supply agreements and outsourcing projects).
Experience in OEM B2B commercial agreements and R&D agreements, a plus.
Managing or leading complex projects (such as integration), a plus.
Familiar with a multi-national and culturally diverse environment.
Strong computer skills with proficiency in Microsoft Outlook, Word and Excel.
Experience with contract management systems is preferred.
