In House Counsel for Company: 3-5 years of M& A & Securities' Experience

Are you at an Am Law 100 law firm in an M& A department looking to go in house?

Key Responsibilities:

• Legal Due Diligence: Conduct extensive legal due diligence, prepare detailed diligence memoranda, and engage in corporate due diligence activities to ensure thorough evaluation of potential deals and compliance matters.

• Deal Formation and Regulatory Compliance: Provide expert counsel on deal formations, ensuring that all transactional regulatory terms are meticulously observed and adhered to.

• Business Generalist Role: Act as a business generalist by offering pragmatic legal guidance to corporate and operational teams, addressing a wide range of general corporate and commercial issues.

• SEC Filings Preparation: Participate in the preparation of SEC filings, including Forms 10-K, 10-Q, and 8-K, proxy declarations, registration statements, and Section 16 filings, ensuring compliance with regulatory requirements.

• Capital Market Transactions Support: Assist in capital market transactions, including debt offerings, credit agreements, and other treasury-related matters, providing strategic legal support throughout the process.

• Strategic Guidance and Legal Advice: Provide strategic guidance and legal advice to local operations on general corporate and commercial issues. Negotiate commercial agreements and ensure compliance with relevant laws and regulations.

Hybrid: 3 days/onsite

Requirements

• 3-5 years of Mergers & Acquisition experience at Am Law 50 law firm

• Licensed in California (or ability to register as RIHC)
