Constructive Partnerships (CP) Unlimited is a leading non-profit provider of residential, day habilitation, Article 16, and clinical health services and supports people with intellectual and developmental disabilities throughout New York City, Nassau County, and Hudson Valley. It is also a time of growth at CP Unlimited and we have expanded our constituency to include housing migrants at a Sanctuary Site in Brooklyn.
We are seeking an attorney to join our team as General Counsel. Reporting to the President/Chief Executive Officer, the right candidate will bring a wide latitude for independent judgment and decision-making, including entity formation, corporate governance, federal and state tax exemption matters, fundraising regulation, political activities compliance, and general business law needs, including contract drafting and review. Other responsibilities include but are not exclusive to other duties which may be required:
Handle general corporate matters and perform legal research on legal issues that might impact the Agency.
Collaborate with outside counsel to manage complex cases including responding to Subpoenas and Freedom of Information Law Requests.
Develop memoranda of law, briefs, opinion letters and policies to advise, clarify and initiate compliance with Federal, State, and local laws.
Draft and negotiate various contracts including consultant contracts, vendor contracts, lease agreements, memoranda of understanding, non-disclosure agreements, hearings and dealings with outside agencies, service providers, contractors, and landlords.
Respond to Subpoenas and Freedom of Information Law requests.
Represent persons supported in legal matters, including court appearances.
Represent Agency in legal matters including lawsuits, administrative and regulatory investigations and hearings, negotiations, and dealings with outside agencies.
Advise Agency administration, including Human Resources, on legal implications and ramifications of proposed Agency actions.
Provide legal oversight for various compliance areas, including the Agency’s government contract and loan agreement covenants, lobbying activities, maintaining the Agency’s 501(c)(3) tax-exempt status, and compliance with various federal, state, and local laws and regulations.
Provide legal guidance and assistance to the executive team related to the application for, receipt of, and expenditure of government funds.
Oversee the Agency’s Corporate Compliance Department to ensure the compliance plan, policies and procedures are aligned with all regulatory requirements for billing, payments, credentialing, mandatory reporting, governance, including Board governance.
Requirements:
Candidates must hold a juris doctorate degree from an accredited law school and be admitted to and in good standing with the New York State Bar.
A minimum of three (3) years of satisfactory legal experience in the United States after admission to any state bar.
Excellent research and writing skills and highly detail-oriented with the ability to prioritize and manage multiple projects often on a time sensitive basis.
Incumbents must be in good standing for the duration of their employment as a member of the New York State Bar.
Knowledge of the OPWDD procedures and policies and an understanding of the needs of the IDD community a plus but is not required.
Candidates must have excellent oral and written communication skills, attention to detail and organizational skills.
