Job Duties:Conduct due diligence research for clients regarding initial public offerings and mergers and acquisitions and generate due diligence report accordingly; Conduct complex legal researches and draft legal memos; Prepare registration statements, offering memorandum, board and stockholder resolutions, securities purchase agreements, merger agreements, and other transaction documents related to the initial public offerings, public offerings, private placements, and merger and acquisitions for corporate clients; Prepare and draft securities law compliance documents for corporate clients, including ongoing SEC reporting filings such as Form 10-Q, Form 10-K, Form 20-F, and Form 8-K, public offering filings such as registration statements on Form S-1, Form F-1, Form S-3, Form F-3, and Form 10, and information statements such as Schedule 14A and Schedule 14C; Assist issuers of securities, investors, underwriters and placement agents on legal matters in connection with both public and private offerings of equity and debt securities in the United States; Advise clients on laws and regulations concerning securities, mergers and acquisitions, and other complicated corporate business transactions.Job Requirements:This position requires at least a JD degree. Must be admitted to at least one State Bar. One year experience as an attorney in corporate and securities practice field.
